A Private Company is the most common business structure for SMEs and growing enterprises. It offers limited liability protection, a separate legal identity, and flexibility in ownership and management.

Prerequisites

• Minimum one director and one shareholder (may be the same person).
• At least one director must be resident in Botswana.
• Company name reservation completed.

Required Documents

• Certified copies of Omang/Passport for all directors and shareholders.
• Proof of physical address for registered office.
• Shareholder agreement (if more than one shareholder).
• Company constitution (or use model constitution).

Engagement Process

3. Provide required documents and complete KYC where applicable.
